These Terms of Service ("Terms") govern your access to and use of the SPOOLED platform, including the website located at spooled.com, the SPOOLED mobile application, and all related services, features, and content (collectively, the "Platform"), operated by Manna Driven Investments LLC, a Vermont limited liability company ("SPOOLED," "we," "our," or "us").
By creating an account, completing the onboarding process, clicking "Create Account," using Sign In with Google, using Sign In with Apple, or otherwise accessing or using the Platform in any way, you agree to be bound by these Terms and our Privacy Policy, which is incorporated herein by reference. If you do not agree to these Terms, do not create an account or use the Platform.
These Terms constitute a legally binding agreement. Please read them carefully.
You must be at least 13 years of age to use the Platform. If you are between the ages of 13 and 18 (or the age of legal majority in your jurisdiction), you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf before you use the Platform.
By creating an account, you represent and warrant that: (a) you are at least 13 years of age; (b) you have the right, authority, and capacity to enter into and be bound by these Terms; (c) all registration information you provide is accurate, current, and complete; and (d) your use of the Platform does not violate any applicable law or regulation.
We reserve the right to refuse access to any person for any reason at any time.
To access the full features of the Platform, you must create an account by providing a valid email address and password, or by authenticating through a supported third-party provider (currently Google and Apple). During registration, you will also be required to choose a unique handle (username) and display name.
You agree to: (a) provide accurate and truthful registration information; (b) keep your account credentials confidential and not share them with any third party; (c) notify us immediately at thespooledapp@gmail.com if you suspect unauthorized access to your account; and (d) be solely responsible for all activity that occurs under your account, whether authorized by you or not.
Each person may maintain only one account. Creating multiple accounts to evade bans, exploit the PSI system, manipulate leaderboards, or circumvent any Platform restrictions is a material violation of these Terms and may result in permanent termination of all associated accounts.
We reserve the right to reclaim, suspend, or terminate any account handle that violates these Terms, impersonates another person or entity, or that we determine is offensive, misleading, or otherwise inappropriate.
You retain all ownership rights in the content you submit, post, or display through the Platform ("User Content"), including but not limited to posts, photos, videos, vehicle build profiles, modification records, reviews, race results, how-to guides, forum posts, comments, direct messages, garage entries, and community contributions.
By submitting or posting User Content on or through the Platform, you grant Manna Driven Investments LLC a non-exclusive, royalty-free, transferable, sublicensable, worldwide license to use, store, display, reproduce, modify (solely for formatting, compression, and display purposes), translate, create derivative works of, and distribute your User Content: (a) in connection with operating, providing, promoting, and improving the Platform; (b) in marketing and promotional materials for SPOOLED across any media now known or hereafter developed; and (c) as otherwise described in our Privacy Policy.
This license begins when you post User Content and continues until you delete it or your account is terminated, except where your content has been shared with others or copied by other users before deletion, in which case residual copies may persist.
When you publish a how-to guide, modification walkthrough, or other technical content through the Platform, you additionally grant SPOOLED a license to index, surface, link, and feature that content across the Platform's forums, search results, mod detail pages, and related community features. Technical content you publish may be associated with specific vehicles, parts, or modification categories within the Platform's structured database. You may edit or delete your guides at any time, though cached references may persist temporarily.
If your posts or how-to guides contain or are associated with affiliate product links (see Section 9), your content may carry a unique attribution identifier ("ref" parameter) that tracks clicks and purchases originating from your content. By enabling affiliate attribution on your content, you consent to this tracking and acknowledge that SPOOLED may use it to calculate and distribute affiliate earnings in accordance with our then-current affiliate program terms.
You represent and warrant that: (a) you own or have the necessary rights and permissions to post your User Content and to grant the licenses described above; (b) your User Content does not violate any third party's intellectual property rights, privacy rights, right of publicity, or any applicable law or regulation; (c) your User Content is accurate to the best of your knowledge, particularly with respect to technical specifications, modification procedures, and performance claims; and (d) you have obtained consent from any identifiable individuals depicted in your User Content.
You agree not to use the Platform to post, transmit, share, or otherwise make available content or conduct that:
We reserve the right, but are not obligated, to remove any User Content and suspend or terminate any account that we determine, in our sole discretion, violates these Terms or is otherwise harmful to users, the community, or the Platform.
SPOOLED is a community built by and for car enthusiasts. We expect all users to engage respectfully, contribute authentically, and represent the automotive community with integrity. Harassment, hate speech, bullying, threats, targeted abuse, and discrimination of any kind based on race, ethnicity, religion, gender, sexual orientation, disability, national origin, or any other protected characteristic are strictly prohibited and may result in immediate account suspension or permanent termination.
SPOOLED employs both automated tools and human review to enforce these standards. We are not obligated to monitor all content but reserve the right to do so. Enforcement decisions are made at our sole discretion and are not subject to appeal except as we may choose to provide. If you believe content on the Platform violates these standards, you may report it using the in-app reporting feature or by contacting us at thespooledapp@gmail.com.
The Platform includes a structured forum system organized by vehicle make, model, generation, and cross-platform community scenes (collectively, "Forums"). Forums are moderated spaces and all Forum activity is subject to these Terms and any additional forum-specific rules posted by SPOOLED or applicable Forum Legends.
SPOOLED may designate certain experienced, trusted community members as "Forum Legends." Forum Legends are volunteer community moderators, not SPOOLED employees or agents. They are granted moderation tools including the ability to pin posts, remove content, issue warnings, and restrict posting privileges within their assigned Forums.
Forum Legends act in their capacity as volunteer community moderators. SPOOLED does not direct or control their individual moderation decisions, and their actions do not constitute official SPOOLED policy. SPOOLED is not liable for any moderation action, inaction, or decision made by a Forum Legend. However, SPOOLED reserves the right to remove, suspend, or override any Forum Legend designation at any time and for any reason.
Forum Legends may earn affiliate revenue from content they contribute to stickied forum guides and maintenance resources, as described in Section 9. This arrangement is disclosed as part of SPOOLED's affiliate program and does not create an employment or agency relationship.
Posts, replies, and other content submitted in Forums are User Content and subject to all provisions of Section 4. Forum posts that evolve into structured how-to guides may be surfaced across the Platform in accordance with Section 11. SPOOLED may reorganize, merge, archive, or remove Forum categories at any time.
SPOOLED operates a community reputation system called "PSI" (Points of Social Impact) that assigns users a numeric score reflecting their contributions to the Platform. PSI scores are calculated algorithmically based on a variety of signals including content contributions, forum activity, guide completions, community engagement, and other factors as determined by SPOOLED from time to time. PSI scores are displayed alongside user handles in tiers ranging from Stock to Legend.
PSI scores are not an endorsement, certification, verification, or guarantee of any user's mechanical competence, professional qualifications, technical accuracy, trustworthiness, or expertise. A high PSI score does not mean that a user's automotive advice, guides, or modification recommendations are safe, accurate, or appropriate for your specific vehicle. You must exercise independent judgment and consult qualified professionals before acting on any advice or content from any SPOOLED user regardless of their PSI tier.
SPOOLED reserves the right to modify, recalibrate, reset, or discontinue the PSI system at any time, including adjusting the scoring formula, tier thresholds, leaderboard structure, or associated benefits. PSI scores have no monetary value and cannot be sold, transferred, or redeemed for any consideration. SPOOLED is not liable for any perceived loss resulting from changes to a user's PSI score or tier standing.
Attempting to artificially inflate your PSI score through fake accounts, coordinated engagement, automated interactions, or any other inauthentic means is a material violation of these Terms and may result in permanent account termination and forfeiture of all accrued PSI.
SPOOLED operates an affiliate marketing program through which users ("Creators") may earn commissions when other users purchase products through affiliate links embedded in Platform content, including how-to guides, mod detail pages, stickied forum posts, and user profiles. SPOOLED partners with third-party affiliate networks including but not limited to Skimlinks, Impact.com, and ShareASale to facilitate these relationships.
Affiliate links on SPOOLED may earn commissions for the Platform and/or individual content creators. When a product link within Platform content carries an affiliate attribution, SPOOLED will display a disclosure indicator in accordance with Federal Trade Commission (FTC) guidelines. By using the Platform, you acknowledge and understand that: (a) some product links on SPOOLED are affiliate links; (b) SPOOLED and/or content creators may receive compensation when you click affiliate links and/or make purchases; and (c) the presence of an affiliate link does not constitute an endorsement, recommendation, or guarantee of any product, brand, or seller.
When you click an affiliate link on the Platform, SPOOLED and our affiliate network partners may set cookies or use other tracking technologies to attribute purchases back to the originating content and creator. This tracking may persist for a period defined by the applicable affiliate network (typically 30–90 days). By clicking affiliate links, you consent to this tracking. For details on how tracking data is collected and used, see our Privacy Policy.
Affiliate revenue generated through content is attributed to the Creator whose content originated the click, identified by a unique reference parameter ("ref") appended to affiliate URLs. Attribution is calculated by SPOOLED's affiliate tracking system and is subject to validation by the applicable affiliate network. SPOOLED's determination of attribution and earnings calculations is final. SPOOLED is not responsible for tracking failures, cookie blocking, browser privacy features, or other technical conditions that may prevent attribution.
The presence of a product in SPOOLED's Mods Database, on a brand page, or in a how-to guide does not constitute an endorsement or recommendation by SPOOLED. All product purchases are transactions between you and the applicable retailer or manufacturer. SPOOLED is not a party to any purchase transaction and is not responsible for product quality, safety, fitment, shipping, returns, or any dispute arising from a purchase.
Participation in the SPOOLED affiliate program is subject to eligibility requirements as determined by SPOOLED and our affiliate network partners. SPOOLED reserves the right to modify commission rates, eligibility requirements, payout thresholds, and program terms at any time with reasonable notice. Earnings are not guaranteed. Affiliate accounts found to have generated fraudulent clicks or purchases will be permanently disqualified and forfeiture of unpaid earnings may apply.
SPOOLED provides each registered user with a unique referral link and referral code that can be shared to invite others to join the Platform. When a new user creates an account after following a referral link, the referral is attributed to the referring user and the referring user's referral count is incremented. Referral links may also be shared via a downloadable QR code generated within the Platform.
The referral program is an informational tracking feature only. Referral counts are displayed on user profiles for informational purposes. SPOOLED makes no promise, guarantee, or representation that referral activity will result in any reward, compensation, benefit, credit, discount, payment, or other consideration of any kind, now or in the future. The existence of a referral count on your profile does not create any entitlement, expectation, or obligation on the part of SPOOLED.
Referral attribution is tracked automatically when a new user signs up through a referral link. SPOOLED reserves the right to adjust, reset, or void referral counts if we determine that referrals were obtained through fraudulent, deceptive, or manipulative means, including but not limited to: creating fake accounts, incentivizing signups through unauthorized means, using automated tools, or any other activity that violates these Terms. SPOOLED's determination regarding referral validity is final.
SPOOLED reserves the right to modify, suspend, or discontinue the referral program at any time, with or without notice. Any accumulated referral counts have no monetary value and cannot be sold, transferred, or redeemed.
SPOOLED maintains a database of automotive parts, modifications, and vehicle fitment information ("Mods Database") populated from a combination of manufacturer data, community contributions, and curated research. While we endeavor to maintain accurate and current fitment data, SPOOLED makes no representation or warranty that any fitment information, compatibility data, installation specification, torque value, part number, or other technical detail in the Mods Database is accurate, complete, current, or appropriate for your specific vehicle configuration.
Vehicle modifications are highly specific to individual vehicle history, condition, trim level, regional specifications, prior modifications, and other factors that SPOOLED cannot account for. Always verify fitment and compatibility with a qualified professional before purchasing or installing any part. SPOOLED is not responsible for any damage, injury, or loss resulting from reliance on Mods Database information.
Community-submitted fitment data ("UGC fitment") is not verified by SPOOLED and is marked accordingly where identifiable. If you identify inaccurate fitment data, you may report it through the Platform's reporting tools.
SPOOLED allows users to publish step-by-step automotive guides ("How-To Guides") covering modification installation, maintenance procedures, tuning techniques, and other vehicle-related tasks. How-To Guides are entirely user-generated and are not reviewed, verified, approved, or endorsed by SPOOLED, regardless of any "Verified" badge, high PSI tier, completion count, or helpful rating displayed alongside the content.
A "Verified" indicator on a How-To Guide reflects community engagement metrics only — it does not mean SPOOLED has independently confirmed the technical accuracy, safety, or appropriateness of the procedure described.
Automotive modifications and maintenance carry significant risk of personal injury, death, and property damage. How-To content on SPOOLED is provided for informational and educational purposes only. It is not a substitute for professional mechanical advice. Before performing any procedure described on SPOOLED, you should: (a) verify the information with a licensed mechanic or qualified professional; (b) confirm compatibility with your specific vehicle; (c) ensure you have the appropriate tools, skills, and safety equipment; and (d) comply with all applicable laws and regulations. You assume all risk associated with any procedure you choose to perform.
SPOOLED expressly disclaims all liability for any injury, death, damage, or loss resulting from any user's decision to follow, attempt, or rely upon any How-To Guide or other technical content published on the Platform, regardless of the author's experience level, PSI score, or the content's rating or popularity.
SPOOLED offers brand pages to automotive parts manufacturers, retailers, and related businesses at various service tiers (collectively, "Brand Partners"). Brand Partners may pay for enhanced visibility, additional features, or placement within the Platform. The existence of a brand page, a "Verified Brand" indicator, or any paid tier designation does not constitute an endorsement by SPOOLED of the brand, its products, or its business practices.
Brand Partners are responsible for the accuracy and legality of all content they submit to their brand pages, including product descriptions, pricing, specifications, and promotional claims. SPOOLED does not independently verify brand-submitted content. Any purchase you make from a Brand Partner is a transaction solely between you and that brand. SPOOLED is not a party to such transactions and accepts no liability in connection with them.
Content on brand pages that has been paid for by a Brand Partner may be identified by a sponsorship indicator. All sponsored content is subject to FTC disclosure requirements, and SPOOLED will display appropriate disclosures where required.
The Platform allows you to create and maintain a digital "Garage" profile for your vehicles, including details about modifications, specifications, photos, and build history. Your Garage profile and its contents are User Content subject to Section 4. By making your Garage profile public, you consent to other users viewing, referencing, and sharing your build information within the Platform.
SPOOLED may use aggregated, anonymized Garage and modification data to improve the Platform's Mods Database, fitment data, and recommendation features. This usage is described further in our Privacy Policy.
Race results, horsepower figures, dyno numbers, quarter-mile times, and other performance data shared on the Platform are entirely user-submitted and are not independently verified by SPOOLED. Performance claims may be inaccurate, exaggerated, or fabricated. SPOOLED makes no representations regarding the accuracy or reliability of any performance data on the Platform.
SPOOLED does not encourage, condone, facilitate, or in any way support illegal racing on public roads or highways. Car vs. Car content features on the Platform are intended for the sharing of lawful motorsport events, track days, and sanctioned competition only. Posting content that promotes or glorifies illegal street racing is a violation of these Terms and may be reported to law enforcement.
Automotive modification, performance driving, and racing activities carry inherent and serious risks of property damage, personal injury, and death. Any information, guides, or techniques shared through the Platform are for informational purposes only. You acknowledge that you engage in any automotive activity entirely at your own risk.
The Platform, including its design, code, architecture, features, user interface, graphics, logos, brand name "SPOOLED," and all associated branding (collectively, "SPOOLED Property"), is owned by Manna Driven Investments LLC and is protected by copyright, trademark, trade dress, and other applicable intellectual property laws. All rights not expressly granted in these Terms are reserved.
You may not copy, modify, distribute, sell, lease, license, reverse engineer, decompile, disassemble, or create derivative works based on any SPOOLED Property without our prior written consent. You may not use our trademarks, logos, or brand name in any manner that suggests affiliation with or endorsement by SPOOLED without our prior written permission.
If you believe that your intellectual property rights have been infringed by content on the Platform, please contact us at thespooledapp@gmail.com with a description of the alleged infringement, identification of the infringing content, and your contact information.
The Platform integrates with third-party services including but not limited to Supabase (authentication and database infrastructure), Google (Sign In with Google), Apple (Sign In with Apple), and affiliate marketing networks. Your use of these third-party services is governed by their respective terms of service and privacy policies, which are separate from and in addition to these Terms.
When you authenticate using Sign In with Google or Sign In with Apple, you authorize those providers to share certain account information (such as your name and email address) with SPOOLED in accordance with their respective OAuth authorization flows and privacy policies. SPOOLED's use of information received from Google or Apple is limited to what is described in our Privacy Policy.
SPOOLED is not responsible for the practices, availability, or content of any third-party service. Links or integrations with third-party services do not constitute an endorsement by SPOOLED of those services.
You agree to indemnify, defend, and hold harmless Manna Driven Investments LLC, its members, managers, officers, employees, agents, contractors, Forum Legends, and affiliates from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or in any way connected with:
THE PLATFORM IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, ERROR-FREE, OR FREE OF HARMFUL COMPONENTS. YOUR USE OF THE PLATFORM IS AT YOUR SOLE RISK.
SPOOLED EXPRESSLY DISCLAIMS ALL LIABILITY FOR: (A) THE TECHNICAL ACCURACY, SAFETY, OR COMPLETENESS OF ANY HOW-TO GUIDE, MODIFICATION PROCEDURE, FITMENT DATA, OR PERFORMANCE CLAIM ON THE PLATFORM; (B) ANY DAMAGE, INJURY, DEATH, OR PROPERTY LOSS ARISING FROM AUTOMOTIVE MODIFICATIONS, MAINTENANCE PROCEDURES, OR PERFORMANCE ACTIVITIES DESCRIBED ON THE PLATFORM; (C) THE CONDUCT OR MODERATION DECISIONS OF FORUM LEGENDS; (D) THE QUALITY, SAFETY, OR FITNESS OF ANY PRODUCT PURCHASED THROUGH AN AFFILIATE LINK; (E) THE ACCURACY OF PSI SCORES AS A PROXY FOR EXPERTISE OR COMPETENCE; AND (F) ANY THIRD-PARTY SERVICE INTEGRATED WITH THE PLATFORM.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL MANNA DRIVEN INVESTMENTS LLC, ITS MEMBERS, MANAGERS, OFFICERS, EMPLOYEES, AGENTS, FORUM LEGENDS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR OPPORTUNITY, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE PLATFORM, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, STATUTE, OR ANY OTHER LEGAL THEORY, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.
OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE PLATFORM SHALL NOT EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100.00) OR THE AMOUNT YOU PAID TO SPOOLED, IF ANY, IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM.
SOME JURISDICTIONS DO NOT ALLOW THE EXCLUSION OF CERTAIN WARRANTIES OR THE LIMITATION OR EXCLUSION OF LIABILITY FOR INCIDENTAL OR CONSEQUENTIAL DAMAGES. ACCORDINGLY, SOME OF THE ABOVE LIMITATIONS MAY NOT APPLY TO YOU. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE GREATEST EXTENT PERMITTED BY LAW.
Any dispute, controversy, or claim arising out of or relating to these Terms or the Platform shall first be attempted to be resolved through good-faith direct negotiation by contacting us at thespooledapp@gmail.com. If the dispute cannot be resolved through negotiation within thirty (30) days of written notice, either party may pursue resolution through binding arbitration.
Arbitration shall be administered by the American Arbitration Association under its Consumer Arbitration Rules, as modified by these Terms. The arbitration shall be conducted in Vermont, or by video conference if both parties agree. The arbitrator's decision shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.
Class Action Waiver: You agree that any dispute resolution proceeding will be conducted only on an individual basis and not as a class action, class arbitration, consolidated proceeding, or any other representative proceeding. You irrevocably waive any right to participate in a class action lawsuit or class arbitration against SPOOLED. If a court finds this waiver unenforceable, then the arbitration agreement shall not apply to that dispute, and the dispute shall proceed in court subject to Section 23.
Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent irreparable harm.
We reserve the right to suspend, restrict, or permanently terminate your account and access to the Platform at any time, with or without cause, with or without prior notice, for conduct that we determine in our sole discretion violates these Terms, is harmful to other users, the community, third parties, or SPOOLED, or is otherwise objectionable.
Without limiting the foregoing, the following will typically result in immediate permanent termination without warning: posting content that sexualizes minors; coordinated manipulation of the PSI or affiliate systems; systematic harassment campaigns; doxing other users; or any conduct that creates legal risk for SPOOLED.
You may terminate your account at any time by contacting us at thespooledapp@gmail.com. Upon termination, your right to access the Platform ceases immediately. SPOOLED has no obligation to retain or provide you access to your User Content following termination, though we will handle deletion of personal data as described in our Privacy Policy.
The following sections survive any termination of these Terms: Sections 4.2 (License Grant), 4.3, 4.4, 9 (to the extent of accrued obligations), 14, 15, 17, 18, 19, 20, 23, and 24.
We may modify these Terms at any time. We will provide notice of material changes by posting a notice on the Platform, updating the "Last updated" date at the top of this page, and/or sending an email to the address associated with your account where required by applicable law. Your continued use of the Platform after the effective date of revised Terms constitutes your acceptance of the changes. If you do not agree to the revised Terms, you must stop using the Platform and may delete your account.
These Terms and any disputes arising hereunder shall be governed by and construed in accordance with the laws of the State of Vermont, United States, without regard to its conflict of law principles. To the extent any dispute is not subject to arbitration under Section 20, you consent to the exclusive jurisdiction of the state and federal courts located in Vermont.
Severability: If any provision of these Terms is held invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
Waiver: Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. Any waiver must be in writing and signed by an authorized representative of SPOOLED.
Entire Agreement: These Terms, together with our Privacy Policy, constitute the entire agreement between you and Manna Driven Investments LLC with respect to the Platform and supersede all prior and contemporaneous agreements, representations, and understandings.
Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations without restriction.
No Third-Party Beneficiaries: These Terms do not create any third-party beneficiary rights except that our indemnification provisions extend to our members, managers, officers, employees, and agents as described.
